Nscale Secures $3.36B in Pre-IPO Convertible Financing


British AI neocloud provider Nscale has raised $3.36 billion in convertible financing ahead of its planned U.S. IPO later this year, the company announced on Friday. Structured as a convertible note, the funding round highlights the enormous capital requirements driving the buildout of AI data center infrastructure in 2026.


Investment Structure and Key Backers


The round is led by hedge fund Third Point, with $2.36 billion available to Nscale immediately. An additional $1 billion will come from existing investor Nvidia in mid-November. Once Nscale completes its IPO, the notes will convert into equity shares.


IPO Details and Valuation


Nscale filed its IPO paperwork last week and is expected to list on the NYSE at a valuation of $35 billion, according to the Financial Times. The company is seeking to raise $3 billion in the offering, Bloomberg reported.


Rapid Growth Since Spin-Out


Since being spun out of Australian cryptocurrency mining company Arkon Energy two years ago, Nscale has accumulated over $103 billion worth of contracts, according to its IPO filing.


The company is currently developing several large data center campuses, including projects in Norway and West Virginia.
